Hi there, I’m seeking a qualified legal or business professional to assist me with exiting a company due to an internal conflict. I am the sole director of the business, with a 50/50 shareholder structure. Unfortunately, due to ongoing conflict and concerns regarding the other shareholder’s dishonest conduct in running the business as a shadow director, I no longer wish to remain involved. There is no shareholder agreement or constitution in place. I need guidance on: • A smart, strategic, and legally sound way to exit the business ASAP • How to sell or transfer my share • How to manage the legal implications of exiting without formal governance documents • How to communicate with the leaseholder or sub-leaseholder to also exit the lease (I can provide the lease for review) Looking for someone who can advise, assist with documentation if needed, and possibly help communicate with the other party.
