I have drafted a Business Sale Agreement for the purchase of a small florist business in Victoria, Australia. I am seeking a solicitor to review, amend where necessary and ensure the agreement is legally enforceable and adequately protects both parties. The agreement includes: Sale of business assets. Vendor finance arrangement (agreed purchase price with repayment due within 12 months). Lease arrangement (lease remains in the seller's name temporarily while I reimburse the weekly rent). Asset schedules. Existing customer orders and deposit transfer. Gift voucher reimbursement process. Restraint of trade. Warranties and seller liabilities. Handover obligations. I am not looking for a completely new agreement drafted from scratch. I have already prepared a detailed draft and would like it reviewed, amended where required, and finalised for execution. Please provide: A legal review of the agreement. Recommendations for any additional clauses or amendments. Confirmation that the vendor finance, lease, restraint of trade and settlement provisions are appropriately drafted. Any changes required to ensure the agreement complies with Victorian law. The agreement is approximately 10 pages plus schedules. Please note: This agreement is intended to reflect the commercial terms already agreed between the parties. I am looking for legal review and drafting improvements rather than renegotiation of the commercial terms.

Employment Lawyer Required – Review & Finalise Medical Practice Employment Agreement (Fixed Price) I am seeking an Australian employment lawyer (preferably NSW) to review and finalise a draft employment agreement for a private specialist medical practice. This is a fixed-price project. I have already prepared a detailed draft (approximately 80% complete) using multiple reference agreements. I require an experienced employment lawyer to review, improve and ensure it complies with Australian employment law. The role is for a Clinical Support Officer who: Assists a specialist pain physician during consultations. Acts as a medical scribe. Prepares referrals and prescriptions for doctor approval. Coordinates investigations and follow-up. Does not independently diagnose or treat patients. Scope of work: Review and improve the Employment Agreement. Ensure compliance with the Fair Work Act 2009, National Employment Standards, applicable Modern Award (if any), NSW employment law and privacy obligations. Strengthen clauses relating to confidentiality, termination, leave, hours, WHS, intellectual property, conflicts of interest and return of property. Review and improve the attached Position Description and Schedules. Deliverables: Final Employment Agreement. Schedule 1 – Position Description. Schedule 2 – Hours & Work Locations. Schedule 3 – Privacy, Confidentiality & Health Records. The agreement should become a reusable master template for future employees. Please provide: Your employment law experience.
